Affiliate Terms and Conditions

DASE Systems Limited — Version 1.0 — Effective 22 July 2026

Please read these terms carefully before submitting an application to join the Buff CRM Affiliate Programme. By submitting an application you agree to be bound by these terms in their entirety.


Part 1 — Definitions and Interpretation

1.1 Definitions

"Accrued Balance" means the total commission earned by the Affiliate and recorded in the Commission Ledger that has not yet been paid out or forfeited.

"Affiliate" means the individual or entity whose application to join the Programme has been approved by DASE and who has accepted these Affiliate Terms.

"Affiliate Agreement" means the document generated by DASE upon approval of the Affiliate's application, setting out the Affiliate's individual commission terms, referral codes, referred-customer discount terms, and any personal account entitlement, incorporating these Affiliate Terms by reference.

"Affiliate Dashboard" means the online portal accessible to the Affiliate following approval, through which the Affiliate can view their commission ledger, referral history, payout records, payment details, and programme documentation.

"Applicable Laws" means all applicable laws, regulations, codes of practice, and regulatory guidance in force from time to time, including but not limited to the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003, the Consumer Protection from Unfair Trading Regulations 2008, the Advertising Standards Authority's UK Code of Non-broadcast Advertising and Direct and Promotional Marketing (CAP Code), and the Competition and Markets Authority's guidance on endorsements and testimonials.

"Commission" means the amount payable by DASE to the Affiliate in respect of a Referred Tenant's subscription payments, calculated in accordance with Part 4 of these Affiliate Terms.

"Commission Duration" means the period during which Commission is payable in respect of a particular Referred Tenant, commencing on the Referral Start Date for that tenant and ending on the earlier of: (i) the expiry of the commission duration period specified in the Affiliate's individual Affiliate Agreement; or (ii) 24 months from the Referral Start Date; or (iii) termination of the Referred Tenant's subscription with DASE; or (iv) termination of the Affiliate's participation in the Programme.

"Net Subscription Revenue" means the subscription fees actually received by DASE from a Referred Tenant in respect of their Buff CRM subscription, excluding VAT, Stripe processing fees, application fees charged to the Referred Tenant's end customers, SMS top-up credits, email top-up credits, and any other non-subscription charges.

"Payout Threshold" means the minimum Accrued Balance required before DASE will make a payout to the Affiliate, being fifty pounds (£50).

"Referral Code" means the unique alphanumeric code or codes assigned to the Affiliate by DASE, as listed in the Affiliate Agreement, used to attribute signups to the Affiliate.

"Referred Tenant" means a business or individual who signs up to the Buff CRM Platform using the Affiliate's Referral Code or Referral Link, is not an existing Buff CRM subscriber at the time of signup, and is not the Affiliate themselves.

1.2 Interpretation

References to "writing" include email. The singular includes the plural and vice versa. "Including" means "including without limitation."


Part 2 — The Programme and Application

2.1 Nature of the Programme

The Buff CRM Affiliate Programme is a referral scheme operated by DASE through which approved affiliates earn Commission by referring new subscribers to the Buff CRM Platform. Participation is subject to approval by DASE at its sole discretion and to ongoing compliance with these Affiliate Terms.

2.2 Eligibility

To be eligible to apply to the Programme, you must: (a) be at least 18 years of age; (b) be a legal entity or individual with the capacity to enter into binding contracts; (c) not be a current employee, director, or contractor of DASE; (d) have a genuine platform, audience, network, or business through which you intend to promote the Buff CRM Platform; (e) agree to promote the Buff CRM Platform only through lawful, honest, and transparent means.

2.3 Application process

To apply to the Programme, complete the affiliate application form at buffcrm.co.uk/affiliates/apply. DASE will review your application and notify you of its decision by email. DASE is under no obligation to approve any application and may decline applications at its sole discretion without giving reasons.

2.4 Approval and acceptance

If your application is approved, DASE will send you an approval notification containing your individual Affiliate Agreement. These Affiliate Terms come into force on the date you accept the Affiliate Agreement.


Part 3 — Referral Attribution

Commission is earned when a Referred Tenant signs up using your Referral Code or Referral Link, completes the free trial period, and makes their first subscription payment. Attribution is determined by the Referral Code recorded at signup. In the event of dispute, DASE's records are conclusive. Only one Affiliate may be attributed per Referred Tenant.


Part 4 — Commission

Commission rates and structures are set out in each Affiliate's individual Affiliate Agreement. The default tier structure is: 50% of Net Subscription Revenue for months 1 to 3; 20% for months 4 to 12; and 10% for months 13 to 24. Commission is not earned on free trial periods, chargebacks, refunded payments, application fees, SMS credits, or email credits.


Part 5 — Payouts

Commission is paid monthly, on or around the 15th of each month, in respect of Commission accrued in the preceding calendar month. Payouts are made by bank transfer to the account details provided by the Affiliate. A minimum Accrued Balance of £50 is required before a payout is made. DASE raises a self-billing VAT invoice on behalf of the Affiliate for each payout where the Affiliate is VAT registered.


Part 6 — Promotional Standards

You must: (a) disclose your participation in the Programme clearly and prominently in all promotional content, in compliance with the CAP Code and CMA guidance; (b) promote Buff CRM honestly and only make claims that are accurate and not misleading; (c) not use spam, unsolicited messages, or deceptive practices; (d) not bid on DASE's brand keywords in paid search without prior written consent; (e) not create websites or content that could be confused with official Buff CRM or DASE materials.


Part 7 — Intellectual Property

DASE grants you a limited, non-exclusive, non-transferable licence to use DASE Materials solely for the purpose of promoting the Buff CRM Platform in accordance with these Affiliate Terms. All intellectual property rights in DASE Materials remain the property of DASE. You must not modify DASE Materials without prior written consent.


Part 8 — Confidentiality

You must keep confidential all non-public information provided to you by DASE in connection with the Programme, including commission rates, platform data, and technical information. This obligation survives termination of your participation in the Programme.


Part 9 — Data Protection

Each party is an independent data controller in respect of personal data processed in connection with the Programme. You must comply with all Applicable Laws in respect of any personal data you process in connection with your promotional activities. You must not pass personal data of prospective or actual Buff CRM subscribers to DASE other than via the standard signup flow.


Part 10 — Warranties

You warrant that: (a) you have the legal capacity to enter into these Affiliate Terms; (b) your participation in the Programme does not breach any agreement you have with a third party; (c) all information you have provided to DASE is accurate and not misleading; (d) you will comply with all Applicable Laws in connection with your promotional activities.


Part 11 — Indemnity

You shall indemnify DASE against all losses, costs, claims, and damages suffered by DASE arising from: (a) any breach by you of these Affiliate Terms; (b) any misleading or unlawful promotional content you publish; (c) any claim by a third party arising from your promotional activities; (d) any breach by you of Applicable Laws.


Part 12 — Suspension and Fraud

DASE may suspend your participation and withhold payment if it suspects fraudulent activity, including artificial inflation of referral numbers, self-referrals, or abuse of the referred-customer discount. DASE may set off any overpaid Commission or losses arising from fraud against your Accrued Balance.


Part 13 — Limitation of Liability

DASE's total liability to you under these Affiliate Terms is limited to the total Commission paid to you in the 12 months preceding the event giving rise to the claim. DASE is not liable for any loss of profits, loss of anticipated Commission, or any indirect or consequential loss. Nothing in these Affiliate Terms limits liability for fraud, death, or personal injury caused by negligence.


Part 14 — Term and Termination

These Affiliate Terms come into force on the Acceptance Date and continue until terminated. You may terminate your participation on 30 days' written notice to [email protected]. DASE may terminate immediately for fraud or material breach, on 14 days' notice for remediable breach, or on 60 days' notice for any reason. On termination, you must cease all promotional activities and remove all Referral Links. Accrued Commission will be paid out in accordance with Part 5.


Part 15 — General

The Affiliate is an independent contractor. Nothing in these Affiliate Terms creates employment, agency, partnership, or joint venture. DASE may update these Affiliate Terms on 60 days' notice for material changes. These Affiliate Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
